ELECTION OF DIRECTORS

GERARDO MANUEL LUIS B. ANONAS
He is the former President and Director of Optimum Development Bank, Court Appointed Corporate Receiver-J.S. Gaisano Inc., and a Lecturer for various local Banks regarding the “Reconstruction of Financial Statement and Credit Evaluation”. Among his work experiences are the following: Court Appointed Financial Advisor, Steel Corporation of the Philippines, 2006-2008; Executive Vice President, East West Banking Corporation, 1998-2006; Executive Vice President, The Philippine Banking Corporation, 1994-1998; Senior Vice President, Urban Bank, 1991-1994; First Vice President, Boston Bank of the Philippines, 1988-1991; Philippine Commercial International Bank (PCIB), 1986-1988; Insular Bank of Asia and America (IBAA), 1981-1985. He is a B.S. Business Management graduate from Ateneo de Manila University and he also took a Masters in International Business at Schiller International University in Paris Study Center. He has an extensive training and experience in Banking and other related fields. He is the Chairman of the Credit Committee (CreCom) and Member of the Executive Committee (ExCom); Assets Disposal Committee (ADC); and Human Resources Committee (HRCom). he is a Director of Intervest Projects, Inc. (IPI) and Intervest Insurance Agency, Inc. (IIAI). IPI is a wholly owned subsidiary of PVB while IIAI is a wholly-owned subsidiary of IPI. He attended the Corporate Governance seminar in 2015.

RENATO A. CLARAVALL
President & Chief Operating Officer of Philippine Veterans Bank. He is a former Commissioner of the Bureau of Internal Revenue and the Bureau of Customs. He is a recipient of the PMA Alumni Cavalier Award for outstanding accomplishments in Public Administration, Outstanding Professional of the Year by the Professional Regulatory Commission of the Philippines and the Economic Warrior Award of the Department of Finance. He completed his Bachelor of Science degree, magna cum laude, at the Philippine Military Academy. He finished his Master’s degree in Psychology at the University of the Philippines and took Computer Programming at the National Computer Center. He also holds a Master of Business Management from the Asian Institute of Management. His career includes key advisory and operations positions on strategic systems in the private sector and government, both at the national and international levels. He developed information technology systems for fiscal and governance institutions including the PMA entrance examination and Faculty Rating Instrument, systems re-engineering and computerization at the Bureau of Customs, Customs-DOF Computer Link-up for Fiscal Policy Analysis, Automated Export Documentation System, Automated Customs-PEZA Cargo Transfer System and productivity enhancement systems at the Bureau of Internal Revenue. He wrote blueprints for the Customs-SBMA Partnership for Trade Competitiveness and for the Reform and Modernization of the Bureau of Internal Revenue. In PVB, he is the Chairman of the Human Resources Committee (HRCom) and Nomination Committee (NomCom) and a Member of the Executive Committee (ExCom); IT Steering Committee (ITSC); and Remuneration Committee (RemCom). He attended a seminar on Corporate Governance in 2013. He joined Philippine Veterans Bank as a Director/ Member of the Board on 19 June 2015 and eventually became the President & COO on 1 December 2018 until present. He holds a degree of Bachelor of Arts in Economics at the Ateneo de Manila University. He was a Senior Vice President and Chief Finance Officer (CFO) of Benguet Corporation from 2010 to 2015. He also served as Director of various wholly owned companies of Benguet Corporation. He held Senior Management positions in various Financial Institutions from 1997 to 2010. He was a Deputy General Manager of Bank of Boston Manila Offshore Branch from 1984 to 1997. He was a Senior Manager of Union Bank of the Philippines from 1979 to 1984. He has attended various training programs. In PVB, he is a Member of the Executive Committee (ExCom), Trust Committee (TrustCom) and Risk Management Oversight Committee (RMOC). He is the Vice-Chairman of New Rural Bank of Agoncillo, Inc. (NAGON) and Director of Intervest Projects, Inc. (IPI) and Intervest Insurance Agency, Inc. (IIAI). NAGON and IPI are majority-owned and wholly-owned subsidiaries, respectively, of PVB while IIAI is a wholly-owned subsidiary of IPI. He attended the Corporate Governance seminar in 2015.

MA. NIEVES R. CONFESOR, DIRECTOR
Former Department of Labor and Employment Secretary and former Dean of the Asian Institute of Management (AIM). She is the first woman to assume the position since AIM was founded in 1968. She holds a Bachelor of Arts in Literary Studies, magna cum laude and class valedictorian from Maryknoll College (now Miriam College) in 1971. She obtained a Master’s Degree in Business Administration from the Ateneo Graduate School of Business in 1978. She earned a Master of Public Policy and Administration degree from the John F. Kennedy School of Government of Harvard University, as an Edward S. Mason Fellow, in 1990. She also took special courses i Labor and Employment and in Asian Studies at the University of the Philippines; and in International Economics, Negotiations, Women in Politics at Harvard University. She was a professor of Business Administration and International Studies at Miriam College (formerly Maryknoll), and of Public Policy and Administration at the Development Academy of the Philippines. She served as presidential adviser on Human Resource Development and International Labor Affairs to former Philippine President Fidel Valdez Ramos, with the personal rank of Ambassador Extraordinary and Plenipotentiary. In 1992, she was named one of the Ten Outstanding Women in the Nation’s Service (TOWNS) and received the Outstanding Service Award by the Philippine Civil Service Commission. In PVB, she was elected as Lead Independent Director. She is the Chair of Corporate Governance and Compliance Oversight Committee (CGCOC); and Remuneration (RemCom); Member, Executive Committee (ExCom); Human Resources Committee (HRCom); Related Party Transactions Committee (RPTCom); Risk Management Oversight Committee (RMOC), Audit Committee (ACom), and Nomination Committee (NomCom). She attended the Corporate Governance seminar in January 2014.

ROBERTO F. DE OCAMPO, OBE
Chairman of Philippine Veterans Bank. He is a former Department of Finance Secretary. He is a well-respected business leader who brings with him an exceptional track record here and abroad. Aside from being the top fiscal manager during the term of President Fidel V. Ramos, he was also president of the Asian Institute of Management and was the youngest chair and chief executive officer of the state-owned Development Bank of the Philippines. During his stint as Finance Secretary, he was credited for turning around the Philippine Government’s fiscal position from large deficits to surpluses. His term saw the longest period of consecutive years of fiscal surpluses in the Philippines. It was during his term that the key features of country’s investment liberalization and privatization strategies were designed and implemented. As Finance Secretary, he was awarded the Global Finance Minister of the Year in 1995 by Euromoney and Asian Finance Minister of the Year in 1996 and 1997 by Euromoney and AsiaMoney, respectively. He is also a veteran in multilateral initiatives, having Chaired the Asia-Pacific Economic Conference (APEC) and ASEAN (Association of Southeast Asian Nations) Finance Ministers. He was also previously a Governor of the World Bank, International Monetary Fund and Asian Development Bank. He also has the distinction of being the only Filipino knighted by both the United Kingdom and France. He was conferred “Most Excellent Order of the British Empire” or OBE by Her Majesty Queen Elizabeth II in 2012 for his efforts in promoting Philippine-UK relations during his years as a public servant and as Chair of the British Alumni Association. He was also named Chevalier in the French Legion of Honor by the Republic of France for his promotion of links between France and the Philippines in the economic domain. At present, he Chairs the Board Advisers of the RFO Center for Public Finance & Regional Economic Cooperation, an ADB Regional Knowledge Hub. He is also the present Chairman of Intervest Projects, Inc. (IPI) and Intervest Insurance Agency, Inc. (IIAI), and New Rural Bank of Agoncillo, Inc. (NAGON). NAGON and IPI are majority-owned and wholly-owned subsidiaries, respectively, of PVB while IIAI is a wholly-owned subsidiary of IPI. He attended seminars on Corporate Governance in 2013.

JUDITH V. LOPEZ
She has been a member of the External Audit Committee (EAC) of the International Monetary Fund (IMF) since November 2018 and is the Chair of the EAC of the IMF in 2021. She rose to become the Chair and Senior Partner in Isla Lipana from 2009 to 2013 after joining the firm as a Partner in 1991. She holds a Bachelor of Science degree in Business Administration from University of the East (UE). She is a Certified Public Accountant. She took up Executive Program from Harvard School of Business in 2009; Executive Business Course for PWC Partners from University of Western Ontario in 1996 and Management Development Program from Asian Institute of Management in 1993. She is a former President of the Financial Executives Association of the Philippines (FINEX); former Chairman, FINEX Foundation; former President, Association of Certified Public Accountants in Public Practice (ACPAPP) and ACPAPP Foundation; former Chairman, Auditing and Assurance Standards Council; Member, Board of Trustees of CIBI Foundation; and former Trustee, ING Foundation. In PVB, she is the Chair of Audit Committee and Member of Risk Management Oversight Committee, Corporate Governance and Compliance Oversight Committee, Nomination Committee, Related Party Transactions Committee, Remuneration Committee, and Executive Committee. She attended the Corporate Governance seminar in 2013.

FRANCISCO S. MAGSAJO
He has an extensive training and experience in Banking and other related fields foremost of which are: former President and CEO of Rizal Commercial Banking Corporation (RCBC), 2003-2007; RCBC Savings Bank, 1998-2003; Executive Vice President, Philippine National Bank, 1995-1997; Managing Director, PNB International Finance Ltd., HK, 1991-1995; Director, Batangas Sugar Central, 1991-1997; Director, Passi Sugar Central, 1995-1997; and Director, Bulawan Mining Corp., 1996-1997. He is a Bachelor of Science, Major in Economics graduate from Lyceum of the Philippines. He is currently a Director of Philippine Savings Bank (PSBank). In PVB, he is the Chairman of the Assets Disposal Committee (ADC) and Member of Executive Committee (ExCom); Credit Committee (CreCom); IT Steering Committee (ITSC); and Trust Committee (TrustCom). He is a Director of Intervest Projects, Inc.(IPI) and Intervest Insurance Agency, Inc. (IIAI). IPI is a wholly owned subsidiary of PVB while IIAI is a wholly owned subsidiary of IPI. MICHAEL DEMOCRITO C. MENDOZA
He has 29 years of experience in Associated Labor Unions-Trade Union Congress of the Philippines (TUCP). He is currently the Chairperson and Lead Convenor of NAGKAISA Coalition. He is the National President of Philippine Seafarers Unions –(ALU-TUCP-ITF) and National President of Associated Labor Unions-TUCP, positions he has held since 2012.
Among his work experiences are the following: Organizer/National Executive Assistant/Assistant Operations Director of Associated Labor Union-TUCP from 1986 to 1992; Held the various positions from 1997-2010 -- as Area Vice President for Central Visayas Region-Philippine Seafarers’ Union-TUCP; Area Vice President for Central Visayas Region-Associated Professional Supervisory; Area Vice President for Central Visayas Region-Associated Labor Unions-TUCP; Executive Board of TUCP, Oversight Executive Committee of Associated Labor Unions-TUCP.
He holds a degree of AB Political Science in University of the Philippines-College of Cebu and Bachelor of Laws in Southwestern University. He attended various seminars in the Philippines and abroad from 1986-2014: 75th Annual Congress of All Japan Seamen’s Union (JSU) in Japan; ITF, Sofia Bulgaria; JSU Conference in Tokyo, Japan and ILO, Geneva Switzerland.

JOSE A. NUNEZ, JR.
He was Chairman of Development Bank of the Philippines (DBP) from 2010-2016. He was also Vice Chairman of Al Amanah Investment Bank in 2010-2017. In 1997 to 2006, he was Chairman and President/CEO of SB Cards Corp. and Chairman of Asian Express Money Services Corporation, a company engaged in foreign exchange dealership, money changing and global remittance services. He was Vice Chairman and Chief Executive Officer of Federal Savings and Mortgage Bank from 1997-2000 until its merger with Security Bank Corporation; and Executive Vice President and Chief Operating Officer of Premiere Development Bank from 1982-1986 and 1989-1991. He was also a Director and Treasurer of Tranzen Group Inc., Universal LRT Corp., Ltd., and ULCOM Company Inc. He was a director of Philippine Veterans Bank in 2000 to 2010, serving as Chairman of its Board Credit Committee and member of the Executive Committee, and the Corporate Governance and Compliance Oversight Committee. He also served as director of Camp John Hay Development Corporation, Northwood Resources Corporation, Citystate Savings Bank and Goldenville Holdings Corporation. He was also affiliated with Security Bank Corporation, Allied Banking Corporation and Rizal Commercial Banking Corporation. Since 2017, he has been Vice Chairman of Unicapital Securities, Inc.; Director of Unicapital Inc.; and Director of Unicapital Finance and Investment Inc. He is also Director and the Treasurer of La Costa Development Corp., Agus 3 Hydropower Corp. Bukidnon Hydro Electric Corp. He has a Bachelor of Arts major in Economics degree (Honors Program) from Xavier University, and is a candidate for a Master in Business Administration degree from the Ateneo de Manila University. He rejoined PVB on 13 June 2018. He is currently the Chairman of Risk Management Oversight Committee (RMOC); Member, Executive Committee (ExCom); Trust Committee (TrustCom); and Assets Disposal Committee (ADC). He is a Director of Intervest Projects, Inc. (IPI) and Intervest Insurance Agency, Inc. (IIAI). IPI is a wholly owned subsidiary of IPI while IIAI is a wholly owned subsidiary of IPI. He attended a seminar on Corporate Governance in March 5, 2002.

PERCIANITA G. RACHO
Former National President, VFP Sons & Daughters Association, Inc. (VFPSDAI); Former Mayor & Vice Mayor of Buenavista, Agusan del Norte, former Provincial Administrator and Deputy Chairman Provincial Disaster Risk Reduction Management Council of Agusan del Norte, and former member of the Board of Directors of First Community Cooperative (FICCO) and MetroSouth Coop Bank. She is currently the Regional Chairperson of Girl Scouts of the Philippines Eastern Mindanao Region. She’s also the Political Consultant of Agusan del Norte 2nd District Representative Ma. Angelica Rosedell Amante-Matba. In PVB, she is the Chair of Related Party Transactions Committee (RPTCom); Member, Corporate Governance and Compliance Oversight Committee (CGCOC), Risk Management Oversight Committee (RMOC), Audit Committee (ACom), IT Steering Committee (ITSC), and Nomination Committee (NomCom). CESAR A. RUBIO
Among his work experiences are the following: Director and Chairman of the Audit Committee of Rural Bank of Mexico (Pampanga), Chief Financial Officer, Executive Vice President and Head of Support Services Group of United Coconut Planters Bank; Senior Executive positions in Rizal Commercial Banking Corp. and Metropolitan Bank and Trust Co.; Lecturer at the Development Center for Financial Executives and Inter Forex Resources, Inc.; Director of Merchants Savings and Loan Association. He holds a Bachelor of Science in Commerce degree, Major in Accounting at the De La Salle University; Master of Business Management from Asian Institute of Management. He attended the Pacific Rim Bankers Program from August to September 1996, from University of Washington, Seattle. He is a Certified Public Accountant (CPA) and has 45 years of experience in banking and finance. In PVB, he is the Chairman of the IT Steering Committee (ITSC); Member, Board Credit Committee (CreCom); Corporate Governance and Compliance Oversight Committee (CGCOC); Related Party Transactions Committee (RPTCom), Audit Committee (ACom); and Remuneration Committee (RemCom).
